1. Introduction and Acceptance
Welcome to ReplixAI. These Terms of Services (“Terms”) constitute a legally binding agreement between you (“User,” “you,” or “your”) and ReplixAI (“Company,” “we,” “us,” or “our”) governing your access to and use of the ReplixAI platform, website, and all related services (collectively, the “Services”).
By creating an account, subscribing to a plan, or otherwise using our Services, you confirm that you have read, understood, and agree to be bound by these Terms in full. If you do not agree to these Terms, you must not access or use our Services.
You must be at least 18 years of age to use ReplixAI. By using our Services, you represent that you meet this requirement and have the legal authority to enter into this agreement.
2. Description of Services
ReplixAI is a B2B software-as-a-service (SaaS) platform that enables businesses to automate inbound customer support on Instagram Direct Messages and Facebook Messenger. Our platform uses AI and retrieval-augmented generation (RAG) technology to respond to customer messages on behalf of businesses, based on business-provided training content.
ReplixAI is designed exclusively for:
Responding to inbound messages initiated by your customers
Automating legitimate customer support workflows
Providing analytics and insights on support activity
ReplixAI is not designed or permitted for use as a bulk messaging tool, cold outreach tool, or social media marketing automation platform. See Section 6 and our Acceptable Use Policy for full details.
3. Account Registration
To access ReplixAI Services, you must:
Create an account with accurate, complete, and current information
Connect your Instagram Business account and/or Facebook Page via Meta’s official OAuth process
Maintain the security of your account credentials
You are solely responsible for all activity that occurs under your account. You agree to notify us immediately at support@replixai.com if you suspect any unauthorized access to your account. We are not liable for any loss or damage arising from your failure to protect your account credentials.
4. Subscription and Payments
4.1 Subscription Plans ReplixAI is offered on a subscription basis. Available plans and pricing are published on our Pricing page at replixai.com/pricing. We reserve the right to modify plan offerings and pricing with reasonable notice to existing subscribers.
4.2 Billing Subscriptions are billed in advance on a recurring basis (monthly or annually) as selected at the time of purchase. Billing is processed through Lemon Squeezy, our payment processor. By subscribing, you authorize Lemon Squeezy to charge your designated payment method on the applicable billing cycle.
4.3 Automatic Renewal Subscriptions renew automatically unless canceled prior to the renewal date through your account settings. It is your responsibility to cancel before the renewal date if you do not wish to continue.
4.4 Payment Failures If a payment fails, we will notify you by email. We may suspend access to your account until the outstanding balance is resolved. Accounts with repeated payment failures may be terminated.
4.5 Free Trial New accounts are eligible for a 14-day free trial. No credit card is required during the trial period. At the end of the trial, you may choose a paid plan to continue or your account will revert to a limited state. Free trial usage is subject to these Terms.
5. Refunds and Cancellations
Please refer to our Refund Policy for full details on refund eligibility and the cancellation process.
In summary:
You may cancel your subscription at any time through your account settings
Upon cancellation, you retain access through the end of the current billing period
Refunds are available within 7 days of a subscription renewal if a documented technical failure on our part prevented service access
Refunds are not provided for unused message quotas, change of mind, or failure to cancel before renewal
6. Acceptable Use
Your use of ReplixAI must comply with our Acceptable Use Policy, our Anti-Spam Policy, and all applicable laws and regulations.
You agree not to use ReplixAI to:
Send unsolicited, bulk, or cold outreach messages to users who have not initiated contact
Violate Meta’s Platform Policies or Instagram’s Community Guidelines
Impersonate any person, business, or entity in a misleading or deceptive manner
Distribute spam, phishing content, malware, or fraudulent messages
Harass, abuse, threaten, or intimidate any individual
Engage in any illegal activity, including but not limited to fraud, money laundering, or data theft
Circumvent or attempt to circumvent any platform rate limits, access controls, or security measures
Use the platform to promote illegal products or services
Resell or sublicense access to ReplixAI without our express written consent
Violations of these restrictions may result in immediate account suspension or termination without refund.
7. Meta API Compliance
ReplixAI integrates with Instagram and Facebook Messenger exclusively through Meta’s official Graph API and Messenger Platform API. By using our Services, you agree to:
Comply with Meta’s Platform Policies
Comply with Instagram’s API Terms of Use
Ensure your use of the integration complies with Meta’s policies for business messaging
Not use the integration in ways that violate Meta’s policies, including policies around unsolicited messaging and user data handling
If Meta revokes, limits, or modifies our API access in ways that affect our Services, we will notify you as soon as reasonably practicable. We are not liable for any service interruption caused by changes to Meta’s policies or API availability.
8. Intellectual Property
8.1 ReplixAI Platform All software, technology, trademarks, logos, content, and other intellectual property comprising the ReplixAI platform are owned by or licensed to ReplixAI. Nothing in these Terms transfers any ownership rights to you.
8.2 Your Content You retain ownership of all content you upload to ReplixAI as training material (FAQs, product information, policies, etc.). By uploading content, you grant ReplixAI a limited, non-exclusive license to use that content solely for the purpose of providing the Services to your account.
8.3 Feedback If you submit feedback, suggestions, or ideas regarding the Services, you grant us an irrevocable, royalty-free license to use such feedback for any purpose without compensation to you.
9. Privacy and Data
Your use of ReplixAI is governed by our Privacy Policy, which is incorporated into these Terms by reference. By using our Services, you consent to the collection, use, and processing of your data as described in that policy.
10. Confidentiality
Each party agrees to keep confidential any non-public information of the other party that is disclosed in connection with the Services and marked as confidential, or that a reasonable person would understand to be confidential given the nature of the disclosure.
11. Disclaimers and Limitations of Liability
11.1 “As Is” Basis The Services are provided on an “as is” and “as available” basis without warranties of any kind, either express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.
11.2 Service Availability We do not guarantee uninterrupted or error-free operation of the Services. We will make reasonable efforts to maintain uptime and notify users of planned maintenance in advance.
11.3 AI Accuracy AI-generated responses are based on the content you provide as training material. We do not warrant that AI-generated responses will be accurate, complete, or appropriate in all cases. You are responsible for reviewing and maintaining the quality of your training content.
11.4 Limitation of Liability To the maximum extent permitted by applicable law, ReplixAI shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of or inability to use the Services, even if we have been advised of the possibility of such damages. Our total liability to you for any claim arising from these Terms or the Services shall not exceed the total fees paid by you to ReplixAI in the three (3) months preceding the claim.
12. Indemnification
You agree to indemnify, defend, and hold harmless ReplixAI and its officers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to your violation of these Terms, your use of the Services, your violation of any third-party rights, or your violation of any applicable law.
13. Termination
13.1 By You You may cancel your account at any time through your account settings or by contacting support@replixai.com.
13.2 By Us We reserve the right to suspend or terminate your account at any time for violation of these Terms, the Acceptable Use Policy, or any applicable law, with or without notice. In cases of severe violation (e.g., spam, fraud, illegal activity), termination may be immediate and without refund.
13.3 Effect of Termination Upon termination, your access to the Services will cease and your data will be handled in accordance with our Privacy Policy and Data Deletion Policy. Sections 8, 10, 11, 12, and 14 survive termination.
14. Governing Law and Disputes
These Terms are governed by and construed in accordance with applicable commercial laws. Any disputes arising from these Terms or the Services that cannot be resolved by mutual agreement shall be submitted to binding arbitration or the jurisdiction of competent courts, as applicable. We will make reasonable good-faith efforts to resolve any disputes before pursuing formal proceedings.
15. Changes to These Terms
We may update these Terms from time to time. Material changes will be communicated to you via email and/or a notice on our website with at least 14 days’ advance notice. Continued use of the Services after the effective date of any changes constitutes your acceptance of the revised Terms.
